1. Parties

This agreement is entered into between LONGEV’AI® — Clinical Intelligence, a French simplified joint-stock company registered with the Paris Trade and Companies Register under number 918 333 998, registered office at 60 rue François 1er, 75008 Paris, France (“the Company”), and the individual identified by the name entered above (“the Recipient”).

2. Purpose

The Company grants the Recipient temporary, revocable access to confidential commercial and product material relating to CLINIOS One Premium (“the Dossier”), for the sole purpose of training the Recipient to represent and sell CLINIOS One Premium to prospective clinics in Egypt, on behalf of the Company or its authorised Business Introducer.

3. Confidentiality

The Recipient undertakes to treat the entire content of the Dossier — including pricing, commercial terms, product architecture, sales scripts, objection-handling material and market strategy — as strictly confidential. The Recipient shall not copy, photograph, screen-record, forward, publish, or disclose any part of the Dossier to any third party, including competitors, journalists, or unaffiliated prospects, without prior written authorisation from the Company.

4. Intellectual property

The Dossier, the CLINIOS One Premium product, the LONGEV’AI® mark, and all associated content are and remain the exclusive property of the Company. This agreement grants no licence, assignment, or ownership right of any kind in that property. Access granted under this agreement is personal to the Recipient and may not be shared or transferred.

5. Duration & revocation

This agreement remains in force for as long as the Recipient retains an authorised commercial relationship with the Company, and survives termination of that relationship for a period of five (5) years with respect to confidentiality obligations. The Company may revoke access at any time, with or without cause.

6. Governing law

This agreement is governed by French law. Any dispute arising from it falls under the jurisdiction of the courts of Paris.

7. Acknowledgement

By checking the box below and entering the Dossier, the Recipient acknowledges having read, understood, and agreed to be bound by the terms above, and confirms that the name entered is their own true name.
